1. Introduction

Welcome to Determinist (“Determinist”, “we”, “our”, or “us”). Determinist provides AI-powered automation, chatbot, voice agent, and related digital services to businesses. By accessing or using our website, services, software, or communications (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please do not use our Services.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use our Services.

3. Scope of Services

Determinist provides services including but not limited to: AI chatbots and voice agents Automation workflows Business process integrations Consulting and deployment services We reserve the right to modify, suspend, or discontinue any part of the Services at any time.

4. Acceptable Use

You agree not to use our Services to: Violate any applicable laws or regulations Transmit illegal, harmful, abusive, or misleading content Infringe intellectual property or privacy rights Collect or process personal data without lawful basis or consent Bypass safeguards or misuse AI systems Determinist reserves the right to suspend or terminate access for violations.

5. Client Responsibilities

You are responsible for: Ensuring lawful use of AI outputs Obtaining all necessary consents from your customers or users Accuracy of data provided to Determinist Compliance with PDPA, GDPR, or other applicable data laws Determinist does not guarantee legal compliance of client-deployed AI systems unless explicitly agreed in writing.

6. AI Limitations & Disclaimer

You acknowledge that: AI outputs may be inaccurate, incomplete, or probabilistic AI systems do not replace professional advice You are responsible for validating outputs before use. Determinist is not liable for decisions made based on AI-generated content.

7. Intellectual Property

All software, workflows, documentation, branding, and materials remain the intellectual property of Determinist unless otherwise agreed in writing. Clients retain ownership of their data.

8. Fees & Payments

Fees are agreed upon separately via proposal, invoice, or contract. All payments are non-refundable unless otherwise stated.

9. Limitation of Liability

To the maximum extent permitted by law: Determinist shall not be liable for indirect, incidental, or consequential damages Total liability shall not exceed the fees paid in the preceding 3 months

10. Termination

Either party may terminate services with written notice. Determinist may terminate immediately for breach of these Terms.

11. Governing Law

These Terms are governed by the laws of Singapore. Any disputes shall be subject to the exclusive jurisdiction of Singapore courts.
